Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you (and, if you are using the platform for an organization, that organization) and Metatron ("Metatron", "we", "us") governing your use of the Metatron Launch platform, its websites, and related services (the "Service").

By creating an account or using the Service you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you accept on behalf of an organization, you confirm you are authorized to bind it.

Metatron Launch is an AI-guided platform that helps organizations plan and execute blockchain and digital-asset initiatives. Based on the information you provide, it builds a structured project profile and produces a guided journey, questionnaires, cost and effort estimates, checklists, briefs, and draft documents, and can connect you with expert service providers.

The Service is currently in beta. Features may change, break, or be removed, output quality varies, and availability is not guaranteed. We may modify or discontinue parts of the Service at any time.

Metatron provides informational and planning assistance only. Nothing in the Service — including AI-generated plans, journeys, regulatory pathway suggestions (for example references to Reg A+, Reg D, or any licensing or jurisdictional route), cost or timeline estimates, checklists, and generated documents such as token sale terms, agreements, policies, or disclaimers — constitutes legal, financial, tax, accounting, regulatory, or investment advice, and it is not a substitute for advice from qualified professionals.

No attorney-client, fiduciary, broker-dealer, or advisory relationship is created by your use of the Service. Metatron is not a law firm, an investment adviser, a broker-dealer, an accountant, or a licensed financial institution.

You must obtain review by qualified, licensed professionals in the relevant jurisdictions before acting on any output of the Service or using, signing, publishing, or distributing any generated document. Generated documents are drafts for discussion only. You are solely responsible for your decisions, for verifying facts and figures, and for compliance with all laws and regulations that apply to you, including securities, AML/KYC, sanctions, tax, and consumer-protection rules.

Nothing in the Service is an offer to sell or a solicitation to buy any security, token, or other financial instrument.

• You must provide accurate, current, and complete information when you register, and keep it up to date.
• Accounts are for a single individual. Do not share credentials or let others use your account. You are responsible for everything that happens under it and for keeping your credentials secure.
• You must be at least 18 years old to use the Service.
• Tell us promptly at sales@metatron.systems if you suspect unauthorized access.
• We may suspend or terminate an account, with or without notice, for abuse, fraud, security risk, non-payment, or breach of these Terms.

Usage of AI-assisted actions is measured in credits. The platform shows the credit cost of an action before you run it and deducts credits when the action succeeds.

• Credits are a limited internal usage unit, not currency, not a deposit, and not a security or token of any kind.
• Promotional, starter, daily, and other free credits have no monetary value, are non-transferable, and are non-refundable. They may expire, be capped, or be withdrawn at our discretion.
• Credit prices, action costs, grant amounts, promotional periods, and daily limits may change at any time as the product evolves.
• Paid credit purchases are governed by the terms shown to you at the time of purchase (price, credit quantity, taxes, and any refund terms), which form part of these Terms for that purchase. Purchases are processed by our payment provider.
• We are not liable for credits consumed by output you consider unsatisfactory, but if an action fails due to a platform error, contact us and we will restore the credits.

Your content. You retain all rights in the information, answers, files, and materials you submit ("Your Content"), and, as between you and Metatron, you own the project-specific documents and outputs the Service generates for your project. You are responsible for having the rights necessary to submit Your Content.

License to us. You grant Metatron a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Your Content, and to share it with our processors (including AI model providers), solely to operate, secure, support, and improve the Service and to produce output for you. This license ends when you delete the content or your account, except for copies we must retain for legal or backup purposes.

Our intellectual property. The platform itself — its software, interfaces, design, data model and field taxonomy, journey and document templates, prompts, scoring and estimation logic, brand, and underlying know-how — remains the exclusive property of Metatron and its licensors. These Terms grant you a limited, revocable, non-transferable right to use the Service for your own business purposes, and nothing more. You may not copy, modify, reverse engineer, or create derivative works of the platform.

Feedback. If you send us suggestions, we may use them without restriction or obligation to you.

You agree not to:

• use the Service for anything unlawful, fraudulent, deceptive, or in breach of securities, sanctions, AML/KYC, or consumer-protection laws;
• use the Service to plan or promote a scheme intended to defraud or mislead investors, users, or regulators;
• attempt to breach, probe, or circumvent the Service's security, authentication, access controls, rate limits, or credit accounting;
• access other users' accounts, projects, or data, or attempt to escalate your own permissions;
• scrape, crawl, bulk-export, resell, sublicense, white-label, or otherwise commercially redistribute the Service or its templates and output as a competing product;
• upload malware, or content that infringes third-party rights or that you have no right to share;
• interfere with the Service's operation, including by excessive automated requests.

We may investigate suspected violations and take appropriate action.

The Service may surface vendors, consultants, auditors, counsel, and other service providers, and may facilitate introductions or calls. These are independent third parties. We do not guarantee their work, credentials, pricing, or availability, and any engagement you enter into is directly between you and them. Conduct your own due diligence.

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that any output is accurate, complete, current, or suitable for your circumstances, or that following it will produce any particular regulatory, commercial, or financial result.

To the maximum extent permitted by applicable law, Metatron and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, regulatory penalties, or reputational harm, arising out of or relating to the Service or these Terms, even if advised of the possibility.

To the maximum extent permitted by applicable law, our total aggregate liability for all claims relating to the Service or these Terms is limited to the total amounts you actually paid to Metatron for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Where you have paid nothing, our aggregate liability is limited to one hundred US dollars (USD 100). Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

You agree to indemnify and hold Metatron harmless from claims, damages, and costs (including reasonable legal fees) arising from Your Content, your use of the Service, your reliance on output without professional review, or your breach of these Terms.

You may stop using the Service at any time and may ask us to delete your account by emailing sales@metatron.systems. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service.

On termination, your right to use the Service ends immediately and unused credits are forfeited. Export any documents you want to keep before you close your account. Sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts of Tel Aviv-Jaffa, Israel, have exclusive jurisdiction, and you and Metatron consent to their venue and personal jurisdiction — except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

We may update these Terms as the product and legal landscape evolve. We will revise the "Last updated" date above and, for material changes, give you notice by email or in the platform before they take effect. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not accept them, stop using the Service and ask us to close your account.

These Terms, together with the Privacy Policy and any purchase terms shown at checkout, are the entire agreement between you and Metatron regarding the Service. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or reorganization. Questions: sales@metatron.systems.
